In these Terms & Conditions, the following capitalized terms have the meanings set forth below:
“PathPRSolutions” (“we,” “us,” “our”) – the legal entity that owns and operates PathPR.ca, ImmiG AI, ImmiGence SaaS, the Canadian Immigration Dashboard, MapleAI, and related services.
“Platform” – collectively, the website, mobile interfaces, dashboards, portals, APIs, and all related technology that PathPRSolutions makes available under the names above.
“Services” – all offerings accessible via the Platform, including AI-generated PR eligibility reports (CRS, CEC, FSW, PNP), live draw and policy data, interactive analytics, consulting engagements, and custom alerts.
“User” – any individual or entity that registers for, accesses, or uses any part of the Platform or Services.
“Consultant” – an independent immigration professional (e.g., lawyer or regulated consultant) who provides live advice or ancillary services through the Platform.
“Account” – a registered User profile protected by credentials.
“User Content” – any information, documents, profiles, or other data submitted, uploaded, or generated by a User.
“Third-Party Services” – integrations with external providers (e.g., payment processors, scheduling tools, avatar/AI vendors).
“Fees” – all charges, subscription costs, or commissions payable by a User for paid Services.
“Payment Processor” – a third-party service (e.g., Stripe) that facilitates collection of Fees.
“Privacy Policy” – our separate policy governing the collection, use, and disclosure of personal data, incorporated herein by reference.
“Effective Date” – the date on which you first accept these Terms (e.g., by clicking “I Agree”) or begin using any part of the Platform or Services.
Eligibility & Authority: You must be at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to form a binding contract. If registering on behalf of an entity, you warrant that you have authority to bind it to these Terms.
Registration Information: You agree to provide accurate, current, and complete information during sign-up and to update your Account promptly if any details change.
Credentials & Security: You are solely responsible for safeguarding your login credentials and any actions taken under your Account. Notify us immediately of any unauthorized use or breach.
Use Restrictions: You may not share Accounts, impersonate others, scrape data, resell access, or use the Platform in violation of law or these Terms.
Communications: By creating an Account, you consent to receive service-related notices (password resets, payment receipts, policy updates). You may opt out of non-mandatory marketing messages.
Suspension & Termination: We may suspend or terminate your Account without notice for breaches of these Terms or conduct threatening Platform security or integrity. Upon termination, your right to access the Platform ends immediately; we may retain certain data as required by law or for dispute resolution.
Informational Use Only: All AI-generated outputs (CRS scores, pathway analyses, PNP eligibility, personalized suggestions) are provided “as is” for informational and educational purposes.
Not a Substitute: These outputs do not constitute legal, financial, medical, or other professional advice. You should consult a qualified professional before making decisions with significant legal or financial consequences.
No Accuracy Warranty: We make no representations or warranties regarding the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated content. You assume all risks associated with its use.
Third-Party Models: AI Services may rely on third-party models, data sets, or APIs. We disclaim liability for outages, changes, or discontinuations of any underlying components.
Verification Required: You are responsible for verifying any AI-generated information before acting on it.
Independent Contractors: Consultants providing paid or free advice through the Platform are independent and not employees or agents of PathPRSolutions. We do not supervise their methods, fees, or schedules.
No Professional Relationship: Engagement of a Consultant does not create an attorney-client or other professional relationship with us—only with the chosen Consultant.
Selection & Liability: We verify credentials where possible but do not guarantee expertise or results. You are responsible for evaluating, selecting, and supervising Consultants.
Confidentiality: Consultant-User communications are private, subject to our Privacy Policy and applicable laws, though we may monitor for compliance or security.
Free AI Reports: Core PR eligibility assessments on PathPR.ca remain free of charge.
Subscription & Consulting Fees: Fees for ImmiGence SaaS subscriptions, premium dashboard access, or one-on-one consulting are disclosed at purchase and processed via our Payment Processor.
Automatic Renewal: Subscription Fees renew automatically until you cancel. No pro-rated refunds for partial periods.
Refund Policy: Paid Services are non-refundable once delivered. Cancellations more than 24 hours before a scheduled live session receive a full refund.
Disputed Charges: Notify us of billing disputes within 30 days; we will investigate in good faith.
Taxes & Late Payments: All Fees exclude applicable taxes. Late payments may incur interest at 1.5% per month and/or suspension of Services.
Our Content: All Platform content (logos, text, graphics, software) is owned by PathPRSolutions or our licensors and protected by law. You may not copy, modify, distribute, or create derivative works without express permission.
User Content License: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display it solely for providing Services. You retain ownership of your content.
AI-Generated Outputs: You may use AI-generated reports and analyses for internal business purposes; we retain all rights to the underlying technology and models.
Trademarks: “PathPRSolutions,” “ImmiG AI,” “ImmiGence SaaS,” and related logos are trademarks of PathPRSolutions. Unauthorized use is prohibited.
You agree not to:
Violate any law or third-party rights
Disrupt or interfere with the Platform or its security
Use bots, scrapers, or automated tools without permission
Post illegal, defamatory, harassing, or infringing content
Misuse AI Services to generate harmful, deceptive, or malicious outputs
Harass, threaten, or defraud Consultants or other Users
Liability Cap: To the maximum extent permitted by law, our total liability under these Terms shall not exceed the Fees paid by you in the 12 months preceding any claim.
No Indirect Damages: We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.
Indemnification: You agree to indemnify and hold harmless PathPRSolutions, its officers, directors, employees, agents, and Consultants from any claims or losses arising out of your use of the Platform, violation of these Terms, or infringement of third-party rights.
Governing Law: These Terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-law principles.
Informal Resolution: Before initiating formal proceedings, you agree to contact us at support@PathPRSolutions.com and participate in good-faith discussions to resolve disputes.
Arbitration & Jurisdiction: If informal resolution fails, disputes shall be resolved by binding arbitration in Vancouver, BC. You waive the right to class actions or consolidated proceedings.
We reserve the right to modify these Terms at any time. Notice of material changes will be provided via email or a prominent notice on the Platform. Continued use after such notice constitutes acceptance of the revised Terms.
